Terms and Conditions for vendor

1. Introduction

These Terms and Conditions govern the participation of vendors on the digital platform operated by RRasal Connect Services Private Limited (RCSPL) under the brand name Rvaastu. By registering and using the RCSPL platform, vendors agree to comply with these policies in full. RCSPL is committed to fostering ethical, dignified, and secure business collaborations across various sectors.

2. Nature of Engagement

RCSPL provides a digital business development and vendor management platform. Vendors are third-party service providers who list, promote, and deliver their offerings. RCSPL does not own or control the operations, pricing, quality, or fulfillment of vendor services.

3. Business Module and Collaboration

  • Vendors must clearly define their services/products and pricing structures.
  • RCSPL reserves the right to promote vendors’ offerings through digital marketing channels.
  • Any subscriptions, service packages, or tiered access models are bound by RCSPL's internal business framework.
  • All reward points, bonus points, gift vouchers, discount coupons, or loyalty systems issued by RCSPL are system-driven and cannot be challenged or manipulated by vendors.

4. Data Privacy and Security

  • Vendors must maintain confidentiality of customer and transaction data.
  • RCSPL ensures data encryption, secure server access, and protected APIs to safeguard all personal and business-related information.
  • Vendors shall not use RCSPL platform data for external marketing or unsolicited communications.

5. Software, System Use & Support

  • RCSPL offers software tools, dashboards, and business management features to vendors.
  • Vendors are responsible for correct usage and must report any technical or operational issues to support@rrasal.com.
  • RCSPL is not liable for temporary downtimes, bugs, or integration issues unless gross negligence is proven.

6. Financials, Payments & Accounting

  • All payment cycles, commissions, earnings, and tax liabilities are transparently logged within the vendor’s RCSPL account.
  • Any discrepancies must be raised within 7 days of statement generation.
  • RCSPL reserves the right to withhold payouts if fraud, misrepresentation, or breaches are discovered.
  • "RCSPL reserves the right that, in the event any claim is settled or any excess or incorrect payment is mistakenly credited to the receiver’s account, the company may issue a debit note and adjust the said amount from any future payouts. The receiver is obligated to refund the amount within a maximum of seven (7) working days from the date of notification. Failure to refund within the stipulated period may attract an interest charge of up to 36% per annum, calculated from the date of erroneous credit until the date of full repayment. This clause is enforceable and binding, and aims to ensure financial integrity and safeguard the company’s operational interests."

7. Quality, Misrepresentation & User Complaints

  • Vendors are solely liable for the quality, quantity, delivery, warranty, guarantee, and terms of services/products sold.
  • Any user grievances related to vendor actions must be resolved directly by the vendor.
  • RCSPL does not mediate quality disputes, and users are informed accordingly.

8. Vendor Access & Infrastructure

  • RCSPL may provide physical or digital access to vendor partners under a separate agreement.
  • Vendors must not misuse or damage any infrastructure, premises, or intellectual property of RCSPL.
  • Any unauthorized access to RCSPL’s system or tampering with its software is a criminal offense.

9. Behavioral Conduct

  • Vendors are expected to conduct business in a professional, respectful, and ethical manner.
  • Abusive language, threats, harassment, or disrespectful communication toward users, staff, or other vendors may result in account suspension or legal action.
  • RCSPL reserves the right to block any vendor displaying unprofessional conduct.

10. Communication & Governance

  • All official communication must be addressed to support@rrasal.com.
  • Verbal agreements or informal messages via social media or mobile apps are not legally binding unless confirmed in writing.
  • Regular updates, platform changes, and terms revisions will be notified via email or website announcements at www.rrasal.com.

11. Software Errors & Technical Issues

  • Vendors must report any technical errors or malfunctions they experience.
  • RCSPL will investigate issues and provide resolutions within a reasonable timeframe.
  • Vendors must not exploit bugs or errors for unfair advantage. Any such action will lead to account termination and legal recourse.

12. Refund Policy

  • Refund requests must be submitted within 72 hours from the date of the transaction.
  • Valid refund claims will be processed only upon review and written approval by RCSPL management.
  • Refunds are not guaranteed and will depend on the nature of the issue, the transaction type, and supporting evidence.
  • Vendors shall cooperate during refund investigations.

"Please note that in case of a refund, 25% of the total amount will be retained by RCSPL as administrative and processing charges."

13. Jurisdiction & Dispute Resolution

  • All legal matters, disputes, or complaints must be raised under the exclusive jurisdiction of Vasai Court, Maharashtra.
  • Vendors agree to resolve any dispute amicably via RCSPL's internal grievance redressal process before approaching legal remedies.

14. Indemnity Clause

  • Vendors agree to indemnify, defend, and hold harmless RCSPL, its management, employees, agents, and stakeholders from all claims, liabilities, losses, penalties, or damages arising out of:
  • Misuse of the platform
  • Violation of user rights
  • Breach of these terms
  • Errors, omissions, or false commitments made to end-users

15. Disclaimer

RCSPL operates as an independent digital platform facilitating business collaboration. We do not guarantee the performance, delivery, or financial output of any vendor. Vendors are not employees or representatives of RCSPL and must act independently within their contractual rights.

RCSPL is not responsible for any:

  • Business failure, commercial losses, or misrepresentation by vendors
  • Inaccuracies in content or offers shared by vendors
  • Breach of consumer laws by vendors

16. Termination of Vendor Account

RCSPL reserves the right to suspend or permanently block any vendor account at its discretion for reasons including policy violation, unethical conduct, or user harm.

Upon termination, vendors must settle all pending dues, discontinue usage of RCSPL IP, and return access privileges.

18.Periodic Updates and Revisions

"RRasal Connect Services Private Limited (RCSPL), including its digital platform Rvaastu, reserves the right to update, modify, or revise any part of its services, features, business models, software systems, subscription plans, reward programs, discount policies, data protection measures, access rights, communication protocols, support systems, grievance redressal mechanisms, and terms of engagement from time to time, as deemed necessary for operational efficiency, legal compliance, and business development.

All such updates will be periodically published and communicated through official channels, including the website www.rrasal.com and/or via email to registered users. It is the responsibility of the user—including but not limited to customers, dealers, connectors, vendors, or collaborators—to remain updated with such changes.

Continued use of RCSPL and Rvaastu's services after such updates shall be considered as acceptance of the modified policies and terms. These changes are made in the interest of long-term stability, security, compliance, and enhancement of user experience across all stakeholders."
